Directors and Officers (D&O) and Errors and Omissions (E&O) insurance both address liability, but they protect against different types of claims and different insureds:
- D&O insurance focuses on management decisions and corporate governance, protecting directors, officers and in many cases the entity itself against allegations of mismanagement, breach of fiduciary duty, misleading statements, failures in governance or other decisions that allegedly harm shareholders, members, donors or other stakeholders.
- E&O insurance focuses on the professional services you provide to clients or customers, protecting your organization and the employees or professionals who deliver those services against allegations of mistakes, negligence, errors, omissions or failure to perform as promised that result in a client’s financial loss.
